This website is operated by Gradeafrica786 CC trading as Grade Africa and can be accessed at www.gradeafrica.com and related software applications (“website”).Throughout the website, the terms “we”, “us” and “our” refer to Grade Africa. Grade Africa offers this website, including all information, tools and services available from this site to you, the user (“you”, “your”, ”user”) , conditioned upon your acceptance of all terms, conditions, policies and notices which govern the ordering, sale and delivery of goods as well as the use of this website.

By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you.

These Terms and Conditions apply to users who are consumers for purposes of the Consumer Protection Act, 68 of 2008 (the “CPA”).
These Terms and Conditions contain provisions that appear in similar text and style to this clause and which -

  • may limit the risk or liability of Grade Africa; and/or 
  • may create risk or liability for the user; and/or
  • may compel the user to indemnify Grade Africa; and/or
  • serves as an acknowledgement, by the user, of a fact.

 

Your attention is drawn to these Terms and Conditions because they are important and should be carefully noted.
If there is any provision in these Terms and Conditions that you do not understand, it is your responsibility to ask Grade Africa to explain it to you before you accept the Terms and Conditions or continue using the Website. This can be done via email to info@gradeafrica.com.
Nothing in these Terms and Conditions is intended or must be understood to unlawfully restrict, limit or avoid any right or obligation, as the case may be, created for either you or Grade Africa in terms of the CPA.


SECTION 1 - ONLINE STORE TERMS

By agreeing to these Terms of Service, you represent that you are at least the age of majority/full legal capacity in your state or province of residence, or that you are the age of majority/full legal capacity in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

You agree to not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

You agree to not transmit any worms or viruses or any code of a destructive nature.

You agree that you will not in any way use any device, software or other instrument to interfere or attempt to interfere with the proper working of the Website. In addition, you agree that you will not in any way use any robot, spider, other automatic device, or manual process to monitor, copy, distribute or modify the Website or the information contained herein, without the prior written consent from an authorised Company representative (such consent is deemed given for standard search engine technology employed by Internet search websites to direct Internet users to this Website).

You may not in any way display, publish, copy, print, post or otherwise use the Website and/or the information contained therein without the express prior written consent of an authorised Company representative.

You may not use the Website to distribute material which is defamatory, offensive, contains or amounts to hate speech or is otherwise unlawful.


A breach or violation of any of the Terms will result in an immediate termination of Services.

SECTION 2 - GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any reason at any time.

You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.
Whether or not Grade Africa accepts an order depends on the availability of Goods/Products, correctness of the information relating to the Goods/Products (including without limitation the price) and receipt of payment or payment authorisation by Grade Africa for the Goods. 
Grade Africa will indicate the acceptance of your order by delivering the Goods/Products to you, and only at that point will an agreement of sale between you and Grade Africa come into effect (the “Sale”). This is regardless of any communication from us stating that your order or payment has been confirmed. We will indicate the rejection of your order by cancelling it and, as soon as possible thereafter, refunding you for any amount already paid.
You acknowledge that stock of all Goods/Products on offer is limited. In the case of Goods/Products for sale by Grade Africa, Grade Africa will take all reasonable efforts to monitor stock levels and ensure that when stock is no longer available, that offers thereof are discontinued on the Website. However, we cannot guarantee the availability of stock. When Goods are no longer available after placing an order, Grade Africa will notify you and you will be entitled to a refund of the amount paid by you for such Goods. 

This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.

We shall take all reasonable efforts to accurately reflect the description, availability, purchase price and delivery charges of Goods/Products on the Website. However, should there be any errors of any nature whatsoever on the Website (not due to gross negligence on the part of Grade Africa), we shall not be liable for any loss, claim or expense relating to a transaction based on any error, save – in the case of any incorrect purchase price – to the extent of refunding you for any amount already paid, or otherwise as set out in the Returns Policy. 

SECTION 4 - MODIFICATIONS TO THE SERVICE AND PRICES

Prices for our products are subject to change without notice.

We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.

We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

SECTION 5 - PRODUCTS OR SERVICES (if applicable)

Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.

We have made every effort to display as accurately as possible the colours and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any colour will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of Grade Africa. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.

We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

Placing Goods/Products in a shopping basket without completing the purchase cycle does not constitute an order for such Goods/Products, and as such, Goods/Products may be removed from the shopping basket if stock is no longer available. You cannot hold Grade Africa liable if such Goods/Products are unavailable when you complete or attempt to complete the purchase cycle at a later stage.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

SECTION 7 – PAYMENT TERMS


We are committed to providing secure online payment facilities. All transactions are encrypted using appropriate encryption technology.
Payment can be made for Goods via -

  • credit card: where payment is made by credit card, we may require additional information in order to authorise and/or verify the validity of payment. In such cases we reserve the right to withhold delivery until such time as the additional information is received by us and authorisation is obtained by us for the amounts. If we do not receive authorisation, your order for the Goods will be cancelled. You warrant that you are fully authorised to use the credit card supplied for purposes of paying for the Goods/Products. You also warrant that your credit card has sufficient available funds to cover all the costs incurred as a result of the services used on the Website;
  • electronic funds transfer: if you pay via electronic funds transfer, payment is due immediately upon placing your order. Grade Africa will not accept your order if payment has not been received;
  • Instant EFT via paygenius.co.za (PayGenius – Smart Payment Solutions); 
  • Grade Africa store credit or coupon codes). 

Once you have selected your payment method and you accept these Terms and Conditions, you will be directed to a link to a secure site for payment of the applicable purchase price for the Goods.

SECTION 8 – Vouchers, Coupons and Promotions

Grade Africa may make electronic gift vouchers (“Vouchers”) and electronic promotional coupons (“Coupons”) available for use on the Website towards the purchase of Grade Africa Goods/Products. 
Vouchers are valid for 3 years after sale. If your Voucher has not been used within that period, it will expire.
Vouchers cannot be used to buy other Vouchers or Coupons, and are not transferable: they are only eligible for redemption via the original email address that they were sent to. Vouchers do not accrue interest and are not refundable for cash once purchased. 
If your Voucher value is insufficient for the order you wish to place, you may make up the difference by paying via one of our other payment methods.
Coupons are issued electronically at Grade Africa’s sole discretion. Coupons are issued under specific terms and conditions regulating when and how they may be used. 
As a general rule, and unless specified otherwise on the specific Coupon itself:

  • a Coupon can only be used once, with promotional offers on the Website; 
  • only one Coupon can be used per person unless Grade Africa specifies otherwise; and
  • the value of the Coupon will be set off against the value of your shopping basket and the balance remaining, if any, will be payable by you. 
  • Coupons cannot be used to buy Vouchers or other Coupons, cannot be exchanged for cash, and are not transferable to any other person.
  • If Grade Africa is running a special on the Website where a discount is automatically applied upon check-out, and you try to redeem a Coupon as well, the Website will automatically apply the promotion of greater value or benefit to you.

From time to time Grade Africa will run promotions. These promotions will either be on selected products or site wide. For each promotion there will be specific terms and conditions. Promotions may require the customer to apply the stated promo-code to their cart during the check-out process.
Promo-code discounts, even if site wide, will only apply to physical Goods/Products. No promo-code discount will be applicable to gift vouchers/cards. 

SECTION 9 – DELIVERY OF GOODS


Grade Africa delivers Goods/Products via courier.
Items heavy or large (based on volumetric weight) may carry additional delivery fees. Additional fees for Deliveries over 30kg may be decided on a case by case basis.
You may contact us via email at info@gradeafrica.com for information related to additional fees for Deliveries over 30kg.
Where Grade Africa accepts your order, Grade Africa will deliver the Goods/Products to you as soon as is reasonably possible, but no later than 30 (thirty) days of receipt of your payment (“Delivery Period”), excluding any delays attributed to international customs authorities, courier services, third-party delays or vis maior. You will be notified by Grade Africa if delivery within this period is not possible. You may then, within 7 (seven) days of receipt of such notification, elect whether or not to cancel your order for the Goods/Products. If you elect to cancel the order then we will reimburse you for the purchase price. 

SECTION 10 - OPTIONAL TOOLS

We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.

You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service.

You agree that Grade Africa will not be liable to you in the event that it chooses to suspend, modify or terminate this Website other than for processing any orders made by you prior to such time and to the extent possible.
If you fail to comply with your obligations under these Terms and Conditions, including any incident involving payment of the price of an order for any Goods, and you fail to remedy such failure within 7 (seven) days of notice to you by us, this may (in our sole discretion) lead to a suspension of your access to the Website without any prejudice to any claims for damages or otherwise that we may have against you.


SECTION 17 - INDEMNIFICATION

Termination of the agreement does not bar Grade Africa from seeking legal recourse for any reason whatsoever.

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any failure on the part of you or Grade Africa to enforce any right in terms hereof shall not constitute a waiver of that right.
If any term or condition contained herein is declared invalid, the remaining terms and conditions will remain in full force and effect.
No indulgence, extension of time, relaxation or latitude which any party (the “grantor”) may show grant or allow to the other (the “grantee”) shall constitute a waiver by the grantor of any of the grantor’s rights and the grantor shall not thereby be prejudiced or stopped from exercising any of its rights against the grantee which may have arisen in the past or which might arise in the future.

SECTION 21 - CESSION AND ASSIGNMENT


You may not cede, assign or otherwise transfer your rights and obligations in terms of these Terms and Conditions to any third party.


SECTION 22 - GOVERNING LAW AND JURISDICTION

These Terms of Service, and/or our relationship and/or any dispute and/or any separate agreements in connection with the Services or these Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of South Africa. 
Your continued use of the Website will constitute your consent and submission to the jurisdiction of the South African courts regarding all proceedings, transactions, applications or the like instituted by either party against the other, arising from any of these Terms and Conditions.
In the event of any dispute arising between you and Grade Africa, you hereby consent to the non-exclusive jurisdiction of the High Court of the Republic of South Africa (Western Cape Division, Cape Town) notwithstanding that the quantum in the action or proceedings may otherwise fall below the monetary jurisdiction of that court.
Nothing in this clause or the Terms and Conditions necessarily limits your right to approach any court, tribunal or forum of competent jurisdiction in terms of the CPA.

Grade Africa thus disclaims all liability for any damage, loss or liability of any nature whatsoever arising out of or in in connection with your access to or use of the Website.
Grade Africa SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL LOSS OR DAMAGES WHICH MIGHT ARISE FROM YOUR USE OF, OR RELIANCE UPON, THE WEBSITE OR THE CONTENT CONTAINED IN THE WEBSITE; OR YOUR INABILITY TO USE THE WEBSITE, AND/OR UNLAWFUL ACTIVITY ON THE WEBSITE AND/OR ANY LINKED THIRD PARTY WEBSITE.

SECTION 26 – NOTICES


Grade Africa hereby elects Shop 3, Reede Street Mall, Gardens, Cape Town, 8001 as its address for the service of all formal notices and legal processes in connection with these Terms and Conditions (“nominated address”). Grade Africa may change this address from time to time by updating these Terms and Conditions. 
You hereby select the address specified on the Goods/Products order form as your nominated address, but you may change it to any other physical address by giving Grade Africa not less than 7 days’ notice in writing.
Notices must be sent either by hand, prepaid registered post, telefax or email and must be in English. All notices sent -

  • by hand will be deemed to have been received on the date of delivery;
  • by prepaid registered post, will be deemed to have been received 10 days after the date of posting;
  • by telefax before 16h30 on a business day will be deemed to have been received, on the date of successful transmission of the telefax. All telefaxes sent after 16h30 or on a day which is not a business day will be deemed to have been received on the following business day; and
  • by email will be deemed to have been on the date indicated in the “Read Receipt” notification. ALL EMAIL COMMUNICATIONS BETWEEN YOU AND US MUST MAKE USE OF THE “READ RECEIPT” FUNCTION to serve as proof that an email has been received.
